These terms govern your use of Dialogent, provided by Dialogent Inc. ("we", "us") — the platform at dialogent.io for building AI chat agents that answer questions from your content, qualify leads, and book appointments on your website. By creating an account or embedding an agent you agree to these terms. If you use Dialogent on behalf of a company or client, you represent that you can bind them to these terms.
Dialogent lets you create AI agents, connect knowledge sources, embed a chat widget on your website (or use a hosted agent page), capture leads, and — when you connect an integration such as Square — let the agent book appointments in conversation. Features vary by plan as described on our pricing page.
You are responsible for activity in your workspace, including team members you invite and the roles you grant them. Keep your sign-in credentials and connected integration credentials secure, and tell us promptly about any unauthorized use.
You retain all rights to the content you provide — playbooks, knowledge sources, branding, and configuration. You grant us the limited rights needed to host and process that content to run your agents, including sending the necessary text to our AI model providers to generate responses. You are responsible for having the rights to the content you upload.
Conversations between your website visitors and your agent are processed by Dialogent on your behalf. You are the controller of that data; we process it to provide the service as described in our Privacy Policy. As the operator of your website, you are responsible for:
Agent replies are generated by AI from your content. They can be incomplete, out of date, or wrong, even with guardrails enabled. You are responsible for reviewing how your agent represents your business, for the accuracy of the knowledge you give it, and for verifying AI-assisted actions such as bookings. Dialogent is not suitable for conversations where an incorrect answer could cause harm — including medical, legal, or financial advice delivered as such.
You agree not to use Dialogent to:
We may suspend or restrict accounts that endanger the platform, other tenants, or end users.
Optional integrations (such as Square Bookings) connect your third-party accounts to your agents. Your use of those services remains governed by their own terms; we store the credentials you provide encrypted and use them only to perform the actions you enable. We are not responsible for third-party services, and disconnecting an integration disables the related agent capabilities.
Free and paid plans include limits (such as the number of agents and monthly conversations) described on our pricing page. Paid plans are billed via Stripe on a monthly subscription; you can manage or cancel your subscription at any time through the billing portal, effective at the end of the current billing period. Exceeding plan limits may pause new conversations until the next period or an upgrade. We may change prices with notice ahead of your next billing cycle.
The service is provided "as is" and "as available", without a formal SLA on self-serve plans and without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement. When our AI engine is unreachable, agents degrade to a safe fallback reply rather than failing silently, but we do not guarantee uninterrupted operation.
Dialogent — the platform, widget code, and everything we make available other than your content — remains ours or our licensors'. We grant you a limited, non-exclusive, non-transferable right to use it while you have an account, including embedding the widget on sites you control or manage.
To the maximum extent permitted by law, our aggregate liability arising out of these terms or the service is limited to the amounts you paid us in the 12 months before the claim (or USD 100 if you paid nothing). We are not liable for indirect, incidental, or consequential damages, lost profits, or lost data, nor for the content of AI-generated responses or actions your visitors take in reliance on them.
You will indemnify us against third-party claims arising from your content, your website, your use of captured leads, or your breach of these terms — including claims by your visitors that required notices or consents were missing.
You can stop using the service and delete your agents and data at any time. We may suspend or terminate accounts for material breach of these terms, with notice where practicable. Sections that by their nature should survive (your responsibilities for past use, liability, indemnification) survive termination.
We may update these terms; material changes will be announced in the dashboard or by email before they take effect. Continued use after the effective date constitutes acceptance.
These terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, and disputes are subject to the exclusive jurisdiction of the courts located in Calgary, Alberta.
